Board search is scoped differently now. Directors are recruited against named gaps in a published skills matrix rather than against general seniority, and the most contested seats sit in the 12 to 24 months before an IPO, when the audit chair you appoint is the one signing the S-1 governance disclosures. Cyber, AI governance, climate, and M&A are the narrowest pools and the most requested. We have run hundreds of board searches over the last 2 decades.

Board search isn't one practice. The independent director seat splits cleanly into three jobs, and each gets run differently from the start.

Our highest-volume board seat. The pool: former CFOs, audit-firm partners, and sitting audit chairs with financial-expert designation. Pre-IPO companies lock this seat 12 to 24 months before the S-1, because this director signs the governance disclosures. 

The counterweight when the Chair and CEO roles are combined. The pool: sitting or former CEOs of comparable scale. Most often appointed during succession, restructuring, or activist engagement, with the standing to run independent sessions and hold the CEO accountable. 

A skills-matrix hire against a named gap. The pool: domain operators with board-ready judgment in cyber, AI governance, climate, or M&A, the four fastest-growing requests. Many of the strongest candidates are doing their first board role, and we brief them accordingly.
